Acceptable Use Rules
Guidelines and regulations for proper and lawful use of ZorgSocial services and platform.

We have a few rules on how our services can and cannot be used and this policy explains them (the "Acceptable Use Rules"). The rules apply to all of our services (the "Services") and to all our users regardless of their plans. These rules form part of our broader terms of service. If you see an undefined term here, it has the same definition as in the terms of service applicable to your Services (the "Terms"). For clarity, wherever used in these Acceptable Use Rules, "you", "your", "Customer", and similar terms mean the person or legal entity accessing or using the Services; "ZorgSocial" refers to QUANTIMEDX COMPUTER SYSTEMS TRADING L.L.C, and "we", "us", or "our" refers to ZorgSocial.

A. General Rules
1. You must:
a. Use your best efforts to prevent unauthorized access to or use of the Services, including by maintaining a strong password;
b. Keep your passwords and other login credentials for the Services confidential;
c. Monitor and control all activity conducted through your account;
d. Notify us promptly at legal@zorgsocial.com if you become aware of or suspect any security breach regarding your account, including any loss, theft, or unauthorized disclosure or use of your (or any of your Authorized Users') username, password, or account;
e. Comply with the Social Networks' applicable terms which you connect, access or receive Content through the Services (the "Social Network TOS"). These include without limitation and as applicable:
2.1. You must not:
a. Make the Services available to anyone other than your Authorized Users;
b. Allow more than one individual Authorized User to use a single log-in to the Services, or use the Services in excess of the quantities or limits set out in your Services plan;
c. Sell, trade, or otherwise transfer any Services or Third-Party Content to another party;
d. Upload or share Content that you do not own or otherwise have the right to share;
e. Use the Services to store, obtain or transmit any Content, including Customer Content, that may infringe or violate the intellectual property, privacy, publicity rights, or any other rights of any person or third party, that may violate any applicable laws (including UAE Cybercrime Law, UAE Media Law, and other applicable UAE regulations) or applicable Third-Party Services terms and conditions, or that is:
B. Using and Transferring Mentions Outside of the Services
3.1. Responsibility for Compliance
When we obtain Mentions or Third-Party Content on your behalf and at your instruction from Social Networks or other Third-Party Services that you connect to the Services, we do so subject to the terms and conditions that the Social Networks and Third-Party Services impose on use of those Mentions and/or Third-Party Content within the Services. When you subsequently make any use of Mentions outside of the Services, export Mentions outside of the Services, or instruct us to transfer Mentions to Third-Party Services, you are controlling the purposes and means of processing any personal data associated with such Mentions.
As such, to the extent that you use, transfer or instruct us to transfer Mentions outside of the Services, you expressly acknowledge and agree that you are solely responsible for ensuring that your and your service providers' use of such Mentions complies in all respects with UAE privacy laws, other applicable privacy laws, and the then-current terms and conditions imposed by the Social Networks or other Third-Party Services on the use of such Mentions, including, without limitation and as applicable:
3.2. Data Retention and Removal
We cannot guarantee that historical data (including but not limited to Mentions) will be available at all times. If a Social Network or other Third-Party Service requires us to remove Mentions from the Services, or we reasonably believe that the provision of Mentions would cause us to violate agreements with third parties, or to infringe the intellectual property, other proprietary rights of third parties or any applicable laws and/or regulations (including UAE laws), we may remove Mentions from the Services and you agree to cooperate with us to ensure that any affected Mentions are also removed from your and your service providers' systems.
C. Additional Rules for Contests and Submitted Content
4. You must not:
a. Request that any participant submit personal medical information, social security information, payment card details, financial or other similarly sensitive information;
b. Request Submitted Content that would violate any applicable laws, rules, or regulations (including UAE laws regarding contests, promotions, and data collection);
c. Refer to ZorgSocial or use our name, trademarks, trade names, the Zorg character, or any other ZorgSocial intellectual property in connection with your request for Submitted Content without our prior written consent;
d. Conduct contests or promotions that violate UAE laws or regulations regarding gambling, lotteries, or promotional activities;
e. Request Submitted Content that would be culturally inappropriate or offensive under UAE standards or that would violate Islamic principles or local customs.
D. Additional Rules for AI-Powered Services or Chatbot Services
5.1. Messaging Service Rules
In addition to the Additional Rules in Section C.4. of these Acceptable Use Rules, you must not:
a. Contact end users through any messaging service, unless you, or the party to whom you are operating as a service provider, have all the necessary consent to do so in compliance with UAE laws and regulations;
b. Include links to sites where payment information is collected unless you comply with all applicable UAE e-commerce and payment regulations;
c. Use messaging services to sell digital goods, unless you have received all necessary permissions and comply with UAE regulations.
5.2. Opt-Out Requirements
You must immediately respect all requests by end users to block, discontinue, or otherwise opt out of receiving messages from you.
5.3. AI Service Provider Terms
We use, without limitation, third-party AI service providers to provide certain AI Functionality. If you use any AI-Powered Services with such AI Functionality, you must comply with the applicable terms and conditions of such AI service providers as specified in our AI Terms available at /legal/ai-terms, as well as all applicable UAE regulations regarding artificial intelligence and automated decision-making.
E. Additional Rules for AI-Generated Media and Synthetic Content
This Section E applies whenever you use any generative-AI features of the Services that create, edit, extend, upscale, dub, lip-sync, or otherwise produce or modify images, video, audio, avatars, or other media (collectively, "Generated Media"), including features powered by third-party model providers such as ByteDance/BytePlus (including the Seedance model family) and other AI service providers (each a "Model Provider"). This Section applies in addition to, and prevails over, any conflicting provision of Sections A–D with respect to Generated Media.
6.1. Identity and Payment Verification (Real-Name Requirement)
a. Access to premium Generated Media features is available only to subscribers holding an active paid plan with a valid, verifiable payment method. You must provide, and keep current, true, accurate and complete identity, billing and payment information, including the legal name of the individual or entity subscribing, and, for business accounts, registered company details.
b. You must not register or pay for the Services using a payment instrument you are not authorized to use, use false, borrowed or synthetic identities, or otherwise misrepresent who is accessing the Services. Provision of inaccurate identity or payment information is a material breach of these Acceptable Use Rules.
c. You acknowledge that we may use your payment and billing information, together with verification signals from our payment processors (including cardholder verification, address verification, and strong customer authentication), to verify your identity, to attribute Generated Media to your account, and to satisfy identity-assurance obligations we owe to Model Providers and regulators. We may decline, suspend or condition access to Generated Media features where identity or payment verification fails, and we may require additional verification (including government-issued identification) for features we designate as higher-risk, at our sole discretion.
d. You must not share, resell, or provide access to Generated Media features to any person outside your Authorized Users, and you remain fully responsible for all Generated Media created under your account, whether or not authorized by you.
6.2. Portrait Rights, Likeness and Voice — Your Warranties
a. You represent and warrant that, before uploading, referencing or using the image, likeness, or voice of any identifiable natural person in connection with Generated Media, you have obtained prior, valid, informed and documented legal authorization from that person (or their legal guardian or authorized representative), sufficient under all applicable laws, including portrait, personality, publicity, privacy and data-protection laws of the UAE and of any jurisdiction where the person resides or the content will be used.
b. You bear sole and full legal responsibility for any use of a person's portrait, likeness or voice without such authorization, and for all consequences of such use. ZorgSocial does not review, and assumes no responsibility for verifying, the existence or adequacy of your authorizations.
c. Where the Services request it, you must complete a consent attestation at the time of upload confirming that the required authorization has been obtained, and you consent to our recording and retaining that attestation (including your account identity, timestamp and a fingerprint of the uploaded file) as evidence. You must retain the underlying written authorizations for as long as the Generated Media exists plus five (5) years, and provide copies to us within five (5) business days of our request.
d. You must not create, or attempt to create, Generated Media using the likeness or voice of (i) any minor; (ii) any person who has not provided authorization; or (iii) any public figure, political figure, or deceased person, except where you hold documented rights and the content is lawful in every jurisdiction of intended use.
6.3. Prohibited Synthetic-Media Uses (Anti-Deepfake Rules)
You must not use the Services to create, edit, publish, transmit or distribute Generated Media that:
a. Impersonates any real person, or is presented in a manner likely to deceive a reasonable viewer into believing it is authentic footage, speech or conduct of a real person, without clear and conspicuous disclosure that it is AI-generated;
b. Depicts any real person in a sexual, intimate, nude or suggestive manner, whether or not consented;
c. Involves the likeness, image or voice of any minor in any form;
d. Is used for fraud, scams, phishing, social engineering, identity theft, or to fabricate evidence, documents, endorsements, testimonials or news;
e. Constitutes or facilitates disinformation, election interference, incitement, defamation, blackmail, extortion, harassment or intimidation;
f. Circumvents, removes, alters, obscures or attempts to defeat any watermark, content-credential, provenance metadata, AI-disclosure label, safety filter, content-moderation control, rate limit or usage restriction applied by ZorgSocial or any Model Provider; or
g. Violates any prohibition in Section G (UAE-Specific Compliance Requirements) or the acceptable-use requirements of the applicable Model Provider as referenced in our AI Terms.
6.4. Provenance, Labeling and Traceability
a. You acknowledge and agree that Generated Media may carry embedded provenance metadata, visible or invisible watermarks, and AI-generation disclosures applied by ZorgSocial or a Model Provider, and that certain disclosures (including for Generated Media depicting realistic humans or speech) are mandatory and may not be removed, cropped, edited out or suppressed by you or anyone acting for you.
b. You consent to our logging and retention of generation records — including prompts, uploaded reference media and their digital fingerprints, model identifiers, timestamps, account and verification identifiers, IP addresses, and the mapping between Generated Media and any posts published through the Services — for traceability, safety, compliance, audit and enforcement purposes, and to our retention of such records after termination of your account to the extent permitted or required by law or by our obligations to Model Providers.
c. Where you distribute Generated Media outside the Services, you are responsible for complying with all AI-content labeling and transparency laws applicable to that distribution.
6.5. Screening, Moderation and Emergency Action
a. You acknowledge that prompts, uploaded media and Generated Media may be automatically screened before and after generation, and reviewed by authorized personnel where flagged. We may, without prior notice and without liability to you, decline to run a generation job, block or quarantine inputs, remove or disable Generated Media, withdraw content published through the Services, suspend any feature, or apply an emergency suspension (“kill switch”) to your account or workspace where we reasonably believe these Acceptable Use Rules, the Terms, applicable law, or a Model Provider requirement has been or may be violated.
b. No refund, credit or compensation is payable for content removed, jobs declined, or access suspended or terminated under this Section, and such action does not limit any other right or remedy available to us.
c. We provide reporting channels for suspected violations (in-product reporting and legal@zorgsocial.com, subject line “Report Illegal Content”). You must not misuse reporting channels or knowingly submit false reports.
6.6. Enforcement and Violation Handling
a. Violations of this Section E may result, at our sole discretion and depending on severity, in: warning; restriction or removal of Generated Media features; suspension of the account or workspace; termination of the account without refund; and/or reporting to competent authorities. Severe violations — including child-safety violations, non-consensual intimate imagery, fraud, or terrorism-related content — will result in immediate suspension or termination without prior warning.
b. We may apply enforcement at the level of an individual Authorized User, an account, a workspace, or an entire customer organization (including agency and white-label deployments), where we reasonably determine this is necessary to prevent continuing or repeated violations.
c. You may appeal an enforcement decision by contacting legal@zorgsocial.com. We will review appeals in good faith; our determination following review is final. Enforcement is not suspended pending appeal.
d. You must not attempt to evade enforcement, including by creating new accounts, using different payment instruments or identities, or accessing the Services through another customer's account after suspension or termination.
6.7. Model Provider Flow-Down, Disclosure and Cooperation
a. Generated Media features depend on Model Providers whose terms, policies, geographic availability, technical safeguards and KYC/identity requirements may change without notice. Compliance with the applicable Model Provider requirements (including those of ByteDance/BytePlus for Seedance-powered features) is a condition of your use of the relevant features, and such requirements are incorporated by reference through our AI Terms.
b. You acknowledge and consent that we may disclose to Model Providers, payment processors, and competent authorities such information about your identity, account, verification status, generation records and Generated Media as is reasonably necessary to comply with our contractual obligations to Model Providers (including KYC and audit obligations), to investigate or report suspected violations, or to comply with applicable law or legal process.
c. We may modify, restrict, suspend or discontinue any Generated Media feature, model, or capability at any time — including where a Model Provider changes or withdraws access, imposes new conditions, or directs remedial action — without liability to you or any third party, and such changes do not constitute a breach of the Terms nor entitle you to any refund except as expressly required by applicable law.
d. You agree to cooperate promptly and in good faith with any inquiry, audit or investigation by us, a Model Provider, or a competent authority concerning your use of Generated Media features, including by providing the authorizations and records described in Section 6.2(c).
6.8. Responsibility, Disclaimer and Indemnity
a. Generated Media is produced by probabilistic AI models and is provided “as is” and “as available”. We do not warrant that Generated Media will be accurate, complete, lawful for your intended use, free of third-party rights, or fit for any particular purpose. You are solely responsible for reviewing Generated Media before any use or publication.
b. As between you and ZorgSocial, you are solely responsible for your prompts, your uploaded media, your use and distribution of Generated Media, and the conduct of your Authorized Users and end clients (including where you act as an agency or operate a white-label deployment).
c. You will defend, indemnify and hold harmless ZorgSocial, its affiliates, officers, directors, employees, agents and Model Providers from and against any claims, demands, investigations, penalties, losses, liabilities, damages, costs and expenses (including reasonable legal fees) arising out of or relating to: (i) your breach of this Section E; (ii) any use of a person's portrait, likeness or voice without valid authorization; (iii) any Generated Media you create, use, publish or distribute; or (iv) any violation of applicable law or Model Provider requirements in connection with your use of the Services.
d. Nothing in this Section E limits any exclusion or limitation of liability in the Terms, all of which apply to Generated Media features to the maximum extent permitted by law.
F. Additional Rules for Social Listening Services
7.1. Display Restrictions
You must not publicly display any Third-Party Content in a manner that violates the applicable Third-Party Service's terms or UAE laws. Notwithstanding the foregoing, analytic extracts of social listening reports, such as charts and graphs, may be displayed so long as the Mentions or any portion thereof do not appear in such display.
7.2. Third-Party Service Changes
You acknowledge and agree that we depend upon availability and access to Third-Party Services, and international and UAE legislation, which we do not control and may change without notice. We may, in our sole discretion at any time for any reason, remove and/or stop providing access to Mentions and/or Third-Party Content from Third-Party Services without liability to you or any third party for such change.
7.3. Additional Terms Compliance
You understand and agree these additional social listening services are reliant on Third-Party Services and, as such, specific conditions are attached to their access and use. When you use any social listening services or functionality of our Services, you must also comply with the applicable terms of any Third-Party Service to the extent that it is used in connection with the social listening services or functionality of our Services. G. UAE-Specific Compliance Requirements
8.1. UAE Cybercrime Law Compliance
You must comply with all provisions of UAE Federal Decree-Law No. 34 of 2021 on Combating Rumours and Cybercrimes (the "UAE Cybercrime Law") and any amendments or successor legislation. This includes, but is not limited to:
a. Not using the Services to publish, transmit, or circulate false information, rumors, or misleading news with intent to harm public interest;
b. Not using the Services to insult, defame, or harm the reputation of others;
c. Not using the Services to violate public morals or commit acts deemed offensive to religions, religious rituals, or beliefs;
d. Not using the Services for any form of cyberstalking, harassment, or threatening behavior;
e. Not using the Services to access, intercept, or interfere with information systems without authorization;
f. Not using the Services to commit fraud, forgery, or any other criminal activity as defined under UAE law.
8.2. Telecommunications Regulatory Authority (TRA) Compliance
You acknowledge that the Services are subject to the regulations of the UAE Telecommunications and Digital Government Regulatory Authority (TDRA, formerly TRA). You agree to:
a. Comply with all TDRA regulations regarding internet services, content, and telecommunications;
b. Not use the Services in a manner that violates TDRA policies or guidelines;
c. Cooperate with any TDRA investigations or inquiries related to your use of the Services.
8.3. Cultural and Religious Sensitivity
You must ensure that all Content you create, publish, or transmit through the Services:
a. Respects Islamic values and principles;
b. Does not insult or defame Islam, other religions, their symbols, or sacred texts;
c. Respects UAE cultural norms and traditions;
d. Does not contain content that is considered indecent or immoral under UAE standards;
e. Respects the leadership and national symbols of the UAE;
f. Does not promote activities that are prohibited or restricted under UAE law, including but not limited to gambling, consumption of alcohol (except as legally permitted), and other activities contrary to Islamic law.
8.4. Data Protection and Privacy
You must comply with all applicable UAE data protection and privacy laws and regulations, including:
a. Obtaining appropriate consents for collection and processing of personal data;
b. Implementing appropriate security measures to protect personal data;
c. Respecting individuals' privacy rights under UAE law;
d. Complying with data localization requirements where applicable;
e. Notifying appropriate authorities and affected individuals in the event of data breaches as required by UAE law.
8.5. Content Moderation and Takedown
We reserve the right to:
a. Remove, restrict access to, or refuse to publish any Content that violates UAE law, these Acceptable Use Rules, or our Terms;
b. Report illegal content to UAE law enforcement or regulatory authorities as required by law;
c. Cooperate with UAE authorities in investigations of illegal content or activities;
d. Suspend or terminate accounts that repeatedly violate these Acceptable Use Rules or UAE law;
e. Take any of the actions above, and those described in Section E, with respect to Generated Media, including at the direction of, or to satisfy obligations owed to, a Model Provider.
8.6. Prohibited Content Categories
In addition to the prohibitions listed elsewhere in these Acceptable Use Rules, you specifically must not use the Services to create, publish, transmit, or distribute content that:
a. Promotes or facilitates terrorism, extremism, or violence;
b. Contains child sexual abuse material or child exploitation content;
c. Promotes or facilitates human trafficking or exploitation;
d. Promotes or facilitates illegal drugs or controlled substances;
e. Promotes hatred, discrimination, or violence based on race, religion, nationality, or other protected characteristics;
f. Contains graphic violence or excessively disturbing content;
g. Violates export control laws or economic sanctions;
h. Promotes or facilitates money laundering or terrorist financing;
i. Violates any other category of prohibited content under UAE law.
8.7. Commercial Activity Regulations
If you use the Services for commercial purposes, you must:
a. Comply with all UAE commercial licensing requirements;
b. Ensure all advertising and marketing content complies with UAE advertising standards and regulations;
c. Obtain necessary approvals for promotional activities, contests, or giveaways;
d. Comply with UAE e-commerce laws and regulations;
e. Ensure transparency in sponsored content and advertising as required by UAE law.
8.8. Cooperation with Authorities
You agree to:
a. Cooperate with UAE law enforcement and regulatory authorities in investigations or inquiries;
b. Provide information or documentation as may be lawfully requested by UAE authorities;
c. Comply with court orders, subpoenas, or other legal processes issued by UAE courts or authorities;
d. Not interfere with or obstruct any investigation or legal process.
H. Conflict
9. In the event of any conflict between these Acceptable Use Rules and the Terms, the Terms will govern. In the event of any conflict between any provision of these Acceptable Use Rules and UAE law, UAE law will govern.

These Acceptable Use Rules are designed to ensure compliance with UAE law and to maintain a safe, respectful, and lawful environment for all users of the ZorgSocial Services. Violations of these rules may result in suspension or termination of your access to the Services and may be reported to appropriate UAE authorities as required by law.
